End User Licence Agreement (EULA)

Effective Date: 15 January 2026

This End User Licence Agreement (“Agreement”) is a legally binding agreement between you (“User”, “you”, or “your”) and 360 Wheels Ltd, a company incorporated in England and Wales, with its registered address at 160 Wellworthy Road, Lymington, SO41 8JY, United Kingdom (“Company”, “we”, “us”, or “our”).

This Agreement governs your access to and use of the QB360 Connector software application (the “Application”). By installing, accessing, or using the Application, you agree to be bound by this Agreement. If you do not agree, you must not install or use the Application.

1. Licence Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Application solely for your internal business purposes.

All rights not expressly granted to you are reserved by the Company.

2. Licence Restrictions

You agree that you will not, and will not permit others to:

  • Copy, modify, adapt, translate, or create derivative works of the Application;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Application, except to the extent permitted by applicable law;
  • Rent, lease, sell, sublicense, assign, distribute, or otherwise commercially exploit the Application;
  • Remove, alter, or obscure any proprietary notices included in the Application;
  • Use the Application in any unlawful manner or for any unlawful purpose.

3. Ownership and Intellectual Property

The Application and all intellectual property rights therein are and shall remain the exclusive property of 360 Wheels Ltd or its licensors. This Agreement does not transfer to you any ownership interest in the Application.

4. Digital Goods and Payments

The Application may allow you to purchase digital goods or services. All purchases are final unless otherwise required by applicable law. Prices, payment terms, and available features may be modified at any time at our discretion.

5. User Eligibility

The Application is not intended for use by individuals under the age of 13. By using the Application, you represent and warrant that you meet this age requirement.

6. Data Collection and Privacy

The Application collects and processes personal data in order to operate and improve its functionality. This may include:

  • Account and business-related information;
  • Usage and diagnostic data;
  • Digital analytics and tracking data;
  • Marketing preferences where users have explicitly opted in.

We process personal data in accordance with applicable data protection laws, including the UK GDPR. Further details on how we collect, use, and store personal data are set out in our Privacy Policy.

7. Marketing Communications

Where you have opted in, we may send you marketing communications. You may withdraw your consent at any time using the unsubscribe mechanisms provided or by contacting us directly.

8. No User-to-User Interaction

The Application does not provide functionality for users to interact or communicate with other users.

9. No Third-Party Content or Advertising

The Application does not display advertisements and does not make available any third-party content.

10. Updates and Availability

We may from time to time provide updates, enhancements, or modifications to the Application. We do not guarantee that the Application will be available at all times or that it will be free from errors or interruptions.

11. Disclaimer of Warranties

The Application is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, 360 Wheels Ltd shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business, arising out of or in connection with your use of or inability to use the Application.

Nothing in this Agreement shall exclude or limit liability that cannot be excluded under applicable law.

13. Indemnification

You agree to indemnify and hold harmless 360 Wheels Ltd from any claims, damages, losses, or expenses arising out of your breach of this Agreement or misuse of the Application.

14. Termination

This Agreement is effective until terminated. We may terminate or suspend your access to the Application immediately if you breach this Agreement. Upon termination, all licences granted to you shall cease and you must stop using the Application.

15. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising out of or in connection with this Agreement.

16. Changes to This Agreement

We may update this Agreement from time to time. Continued use of the Application after any changes take effect constitutes your acceptance of the revised Agreement.
